Unified Governing Documents Notice


All users, subscribers, and institutional clients of CodePex Technologies Private Limited (“CodePex”) are hereby advised and reminded that the FAQs, Terms and Conditions of Usage, Privacy Policy, Refund Policy, Free Trial Policy, Disclaimer, and any other supplemental, referenced, or mutually executed legal agreements, policies, or documents (collectively referred to as the “Governing Documents”) are to be read, construed, interpreted, and applied together as a single, integrated, and cohesive set of binding agreements.


Your continued use, access, or engagement with any part of www.codepex.com or CodePex ERP (Education Resource Platform), its related services, or any other products, features, or functionalities provided by CodePex constitutes your explicit acknowledgment, acceptance, and agreement to be bound by all of the Governing Documents collectively and simultaneously.


Each of these documents is intended to complement, reinforce, and support the others. No single document shall operate independently or in isolation to determine your rights, obligations, responsibilities, or liabilities. Institutional clients, administrators, educators, and individual users are therefore strongly encouraged and required to carefully review, fully understand, and acknowledge the entirety of all Governing Documents before accessing, using, or otherwise interacting with the CodePex ERP or any affiliated services.


For the purposes of legal enforceability and practical interpretation, the online version of each Governing Document, as published on www.codepex.com, shall prevail over any physically signed, executed, or mutually agreed-upon copies of the same or related documents. The online versions shall constitute the authoritative and controlling version, and any omissions, inconsistencies, or discrepancies in signed or agreed documents shall be resolved in favor of the latest online version. This ensures that CodePex and its clients are governed by the most current and authoritative terms at all times.


By proceeding to access or utilize the CodePex website, ERP platform, or related products and services, you expressly confirm that you have read, comprehended, and accepted the entirety of these Governing Documents as a unified legal framework. Accordingly, your rights, responsibilities, and obligations as a user or client of CodePex shall be interpreted and determined in light of all such documents collectively, with no presumption that any one document supersedes or excludes the others.


1. Purpose and Scope


This Refund Policy governs the refund eligibility, conditions, and procedures applicable to all subscriptions, services, and products offered by CodePex Technologies Private Limited, including but not limited to the CodePex ERP platform or our website (www.codepex.com), associated modules, custom development, and enterprise solutions.


By purchasing, subscribing to, or using any of our Services, you ("Client", "User", or "Customer") agree to the terms of this Refund Policy, which forms an integral part of our Terms and Conditions of Usage, Privacy Policy, and Disclaimer.


2. General Principle


All payments made to CodePex Technologies Private Limited for software subscriptions, implementation, training, or support services or products are considered non-refundable, except where expressly stated otherwise in this Policy.


Given the intangible, non-returnable, and immediately accessible nature of software and digital services, refunds can only be processed under certain exceptional conditions defined below.


3. Eligibility for Refund


A Client or User may be eligible for a partial or full refund only under the following circumstances:


3.1. Double Payment or Technical Error


If a Customer has been charged twice for the same transaction due to a payment gateway or technical error, the extra amount will be refunded after verification from our payment processor and internal accounts.


3.2. Failure to Deliver the Agreed Service


If CodePex fails to activate the subscribed service or deliver access within the agreed activation timeline (usually within 5–10 business days after payment confirmation) due to internal reasons solely attributable to CodePex, the Client may request a full refund.


3.3. Technical Non-Compliance


If a purchased module or service is technically incompatible with the system environment specified by the Client, despite the Client providing accurate system information during onboarding, and if CodePex is unable to resolve such issues within 15 business days, the Client may be eligible for a refund (subject to deduction of applicable processing and administrative charges).


3.4. Cancellation Before Implementation


If a Client cancels the service before implementation or setup has started, they may be eligible for a refund after deduction of 10% administrative and payment gateway processing fees.


3.5. Government or Regulatory Compulsion


If a regulatory or government order prevents CodePex from delivering services to a specific Client, any unused portion of the subscription may be refunded on a pro-rata basis, subject to verification.


4. Non-Refundable Situations


Refunds will not be granted under the following circumstances:


4.1. Post-Activation or Usage


Once access to the ERP or related modules has been provided and the system has been used (even minimally), the subscription fee becomes non-refundable.


4.2. Change of Mind or Business Decision


Refunds will not be provided in cases where the Client:


  • No longer wishes to use the service after activation,

  • Decides to switch to another provider,

  • Changes their institution's operational model or management decision.

4.3. Service Suspension due to Violation


If a Client's account is suspended, terminated, or restricted due to violation of Terms and Conditions, misuse, non-payment, or breach of contract, no refund will be issued.


4.4. Custom Development or Integration Work


Any amount paid for custom modules, integrations, data migration, or tailor-made enterprise solutions is strictly non-refundable once development work has commenced, as these are bespoke and resource-intensive services.


4.5. Third-Party Service Dependencies


Refunds are not applicable for third-party tools, APIs, payment gateways, or integrations facilitated through CodePex but governed by third-party policies.


4.6. Trial to Paid Conversion


If a user continues using the product beyond the free trial period and subscribes to a paid plan, refunds will not be entertained for dissatisfaction arising after paid activation.


5. Trial Policy and Evaluation


We encourage all potential clients to make use of our Trial Policy to evaluate CodePex ERP before purchasing. The trial version provides full access to all the modules and features, enabling informed decisions.


Trial Period:


Typically 6 months, or as determined by CodePex.


No Charges:


The trial is free, with no obligation to purchase.


Post-Trial Conversion:


Once upgraded to a paid subscription, the purchase is final and non-refundable.


6. Refund Procedure


Clients seeking a refund under eligible circumstances must adhere to the following process:


Submit a written refund request via email to support@codepex.com within 10 business days of the transaction or service issue.


The request must include:


  • Registered email ID,

  • Invoice or payment reference number,

  • Reason for seeking refund,

  • Supporting documents or screenshots (if applicable).

CodePex will acknowledge receipt within 5 business days and may request additional documentation for verification.


Upon approval, refunds will be processed within 15–30 business days to the original payment method.


7. Processing Fees and Deductions


All eligible refunds are subject to a 10% deduction towards payment gateway and administrative costs unless waived by management discretion.


Refunds for international or corporate clients may involve banking and conversion charges, which are borne by the Client.


8. Dispute Resolution and Jurisdiction


Any dispute related to refunds shall be governed by the laws of India and subject to the exclusive jurisdiction of courts at Lucknow, Uttar Pradesh, in accordance with our Terms and Conditions of Usage and Arbitration Clause, where applicable.


9. Modification of Policy


CodePex Technologies Private Limited reserves the right to amend, modify, or update this Refund Policy at any time without prior notice. The latest version will always be available on our official website at www.codepex.com, and continued use of our services constitutes acceptance of such changes.
