Unified Governing Documents Notice
All users, subscribers, and institutional clients of CodePex Technologies Private Limited (“CodePex”) are hereby advised and reminded that the FAQs, Terms and Conditions of Usage, Privacy Policy, Refund Policy, Free Trial Policy, Disclaimer, and any other supplemental, referenced, or mutually executed legal agreements, policies, or documents (collectively referred to as the “Governing Documents”) are to be read, construed, interpreted, and applied together as a single, integrated, and cohesive set of binding agreements.
Your continued use, access, or engagement with any part of www.codepex.com or CodePex ERP (Education Resource Platform), its related services, or any other products, features, or functionalities provided by CodePex constitutes your explicit acknowledgment, acceptance, and agreement to be bound by all of the Governing Documents collectively and simultaneously.
Each of these documents is intended to complement, reinforce, and support the others. No single document shall operate independently or in isolation to determine your rights, obligations, responsibilities, or liabilities. Institutional clients, administrators, educators, and individual users are therefore strongly encouraged and required to carefully review, fully understand, and acknowledge the entirety of all Governing Documents before accessing, using, or otherwise interacting with the CodePex ERP or any affiliated services.
For the purposes of legal enforceability and practical interpretation, the online version of each Governing Document, as published on www.codepex.com, shall prevail over any physically signed, executed, or mutually agreed-upon copies of the same or related documents. The online versions shall constitute the authoritative and controlling version, and any omissions, inconsistencies, or discrepancies in signed or agreed documents shall be resolved in favor of the latest online version. This ensures that CodePex and its clients are governed by the most current and authoritative terms at all times.
By proceeding to access or utilize the CodePex website, ERP platform, or related products and services, you expressly confirm that you have read, comprehended, and accepted the entirety of these Governing Documents as a unified legal framework. Accordingly, your rights, responsibilities, and obligations as a user or client of CodePex shall be interpreted and determined in light of all such documents collectively, with no presumption that any one document supersedes or excludes the others.
1. Free Trial Offer
1. 1 CodePex provides a free, no-commitment trial of the ERP system for six (6) months.
1. 2 No subscription fees, payments, or contractual obligations are required during or after the Trial Period.
1. 3 The Client may terminate access at any time without notice.
2. Trial Use Conditions
2. 1 The Trial ERP is provided “as is” and “as available”.
2. 2 CodePex makes no representations regarding the accuracy, completeness, reliability, performance, or suitability of the ERP for any particular purpose.
2. 3 Users must utilize the Trial ERP solely for evaluation or testing purposes and not for live operational decision-making or critical business functions.
2. 4 The Trial ERP may contain incomplete functionality, bugs, or limitations compared to the paid ERP version.
3. Limitation of Liability
3. 1 CodePex shall not be liable, whether in contract, tort (including negligence), strict liability, or any other theory, for any direct, indirect, incidental, consequential, or special damages arising from or related to the use or inability to use the Trial ERP, including but not limited to:
- Loss of revenue, profits, or business opportunities
- Loss, corruption, or deletion of data
- System errors, downtime, or performance issues
- Unauthorized access, security breaches, or hacking incidents
- Disruption of operations or workflow
- Reliance on reports, analytics, or recommendations generated by the Trial ERP
- Integration or compatibility issues with third-party software
3. 2 Under no circumstances shall CodePex’s liability exceed zero INR, given that the Trial ERP is provided free of charge.
4. No Warranty
4. 1 The Trial ERP is provided without any warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Accuracy or reliability of data
- Uninterrupted operation or availability
4. 2 CodePex expressly disclaims any liability for errors, omissions, bugs, or defects in the Trial ERP.
5. Data Responsibility
5. 1 The Client is solely responsible for the accuracy, integrity, and backup of any data entered into the Trial ERP.
5. 2 CodePex may purge, anonymize, or delete Trial ERP data at the conclusion of the trial or upon termination.
5. 3 Users should not rely on Trial ERP data for financial, legal, or regulatory reporting.
6. Security and Misuse
6. 1 The Client agrees to maintain confidentiality of their login credentials and prevent unauthorized access.
6. 2 Any misuse, including unauthorized distribution, system tampering, or security breaches caused by the Client or its agents, will make the Client fully liable for all resulting damages.
7. Indemnification
The Client agrees to indemnify, defend, and hold harmless CodePex, its officers, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from:
- Client’s use of the Trial ERP
- Any breach of this disclaimer or violation of applicable laws
- Unauthorized or negligent actions taken by the Client or its representatives
8. Marketing and Publicity Rights
8. 1 By participating in the Trial ERP program, the Client grants CodePex a non-exclusive, worldwide, royalty-free right to use:
- Client name, logo, trademarks, or trade names
- Client references or testimonials
- Statements about the Client’s usage of CodePex ERP services
for the purposes of advertising, marketing, promotion, case studies, publications, or any other lawful public communication.
8. 2 The Client waives any claims for compensation, royalties, or other remuneration arising from such use.
8. 3 CodePex agrees to not disclose confidential business information of the Client in any marketing materials.
9. Trial Termination
9. 1 CodePex may terminate or suspend the Trial ERP at any time, for any reason, without prior notice or liability.
9. 2 Clients may voluntarily discontinue the Trial ERP at any time.
9. 3 Termination does not entitle the Client to compensation, refunds, or other claims.
10. Risks During Trial
By using the Trial ERP, the Client acknowledges and accepts the following potential risks:
- Temporary service interruptions due to testing, maintenance, or updates
- Incomplete or experimental functionality
- Errors in reporting or analytics
- Compatibility issues with Client hardware, browsers, or networks
- Security vulnerabilities inherent in software under trial conditions
11. Governing Law and Dispute Resolution
11. 1 This disclaimer is governed by the laws of India.
11. 2 Any disputes or claims arising out of the Trial ERP use shall be resolved exclusively through arbitration in Lucknow, India, under the Indian Arbitration and Conciliation Act, 1996.
12. Acceptance
By clicking “Start Free Trial”, registering for the Trial ERP, or otherwise using the Trial ERP, the Client acknowledges that they have read, understood, and agreed to this Trial Disclaimer and Waiver.
